Terms of service
What we provide, what it costs, who owns what, and what happens if either of us wants to stop.
Last updated 8 October 2026
These Terms of Service are between Solutions3D Pty Ltd, ABN 47 647 190 878, the provider of Done‑Next, which we'll call “we”, “us” or “our”, and the business that uses Done‑Next, which we'll call “you” or “your”.
They apply from the day your account is created and govern your use of Done‑Next, the software and infrastructure we provide it on, and the support that comes with it.
These terms are written to be read rather than skipped. If something here isn't clear, ask us.
1. What we provide
Done‑Next is software that we host and you use through a web browser.
Your organisation has its own Done‑Next instance, with its own database. Your records are held separately from those of other customers rather than sharing tables with them.
We will use reasonable care to keep Done‑Next available, secure and operating reliably. We will maintain and patch the service, take backups, and fix faults within a reasonable time after we become aware of them.
We do not promise that Done‑Next will always be available or error-free. Planned maintenance may sometimes interrupt the service. Where we reasonably expect maintenance to materially interrupt access, we will give you reasonable notice where practicable.
Our support hours and target response times are: 9am to 5pm Monday to Friday, Australian Eastern time, with a response usually within one business day.
We may change or improve Done‑Next from time to time. If we plan to discontinue a material feature that we reasonably expect you to rely on, we will give you reasonable notice where practicable.
2. Trials
A trial is free, requires no payment card, and lasts for the period we agree with you in writing.
We may set up your trial with your organisation's words, people, job names and other information so that you can properly evaluate Done‑Next.
You can export the data you put into Done‑Next during the trial.
If you become a paying customer, we can convert the trial instance into your account rather than creating a new one.
Either of us may end a trial at any time. If a trial ends without becoming a paid account, we will give you a reasonable opportunity to export your data before we remove the trial instance.
3. Fees and payment
Our current prices are shown on our pricing page. Unless stated otherwise, prices are in Australian dollars and exclude GST.
You pay a monthly fee based on the number of people who are authorised to sign in to Done‑Next, subject to a minimum of five authorised users.
People who are recorded in Done‑Next but cannot sign in — including contractors, crews and people who only appear on a schedule or against a job — are not charged as users.
We determine the number of billable users at the start of each month. If you add users during a month, they become billable from the following month. If you remove users during a month, the reduction takes effect from the following month. We do not charge or refund part-month amounts for user changes.
Invoices are issued monthly and are payable within 14 days of the invoice date.
You must tell us promptly if you believe an invoice is incorrect. If you dispute part of an invoice in good faith, you must still pay any undisputed amount by the due date.
If an invoice becomes significantly overdue, we may suspend access after giving you reasonable notice and an opportunity to bring the account up to date. We will not delete your data merely because your account has been suspended for non-payment.
We may charge reasonable interest or recovery costs on overdue amounts to the extent permitted by law. All amounts payable under these terms are subject to GST where applicable.
Price changes
We may change our prices, but we will give you at least 30 days written notice before a price change takes effect. A new price will not apply part way through a month you have already paid for.
If you do not want to accept a price increase, you may close your account before the new price takes effect.
4. Your account and users
You are responsible for deciding who in your organisation receives access to Done‑Next and what permissions they have.
Each user must have their own login. You must not share login credentials between people.
Keep passwords and authentication information secure and tell us promptly if you believe an account has been compromised. We will help you disable or secure the affected account.
You are responsible for activity carried out through your authorised user accounts, except to the extent that the activity resulted from our breach of these terms or unauthorised access that you promptly reported to us.
You are responsible for ensuring that the information you enter into Done‑Next is accurate and that you have the right to provide that information to us and use it in the service. This is particularly important where the information relates to employees, contractors, customers or other people.
5. Your data
You own the information and content that you put into Done‑Next. We do not claim ownership of it.
We will not sell your data. We will not use your data to train artificial intelligence or machine-learning models.
We will only access your data where reasonably necessary to:
- provide, maintain, secure or support Done‑Next;
- investigate or fix a problem;
- respond to a request from you;
- prevent fraud, abuse or a security incident;
- comply with our legal obligations; or
- protect the rights, safety or security of our customers, our service or other people.
We may allow our employees, contractors and service providers to access data where reasonably necessary for those purposes, provided they are subject to appropriate confidentiality and security obligations.
6. Exporting your data
You can export your data during your subscription without asking us for permission.
We will make the export functionality available through Done‑Next in the formats we specify from time to time.
We intend this to make it practical for you to leave Done‑Next if you decide it is no longer right for your business.
If you need assistance with an export that cannot reasonably be completed using the standard export functionality, we will discuss the request with you and may charge a reasonable fee for substantial additional work.
7. Backups and deletion
We take regular backups of the Done‑Next service and retain those backups for approximately 30 days. Backups are intended to help us recover the service following a failure. They are not a substitute for your own copies of information you need to retain.
When your account ends, we will normally keep your account data available for 30 days so that you have a reasonable opportunity to export it. After that period, we may permanently delete your account and data.
Data contained in backups may remain until those backups are overwritten or expire under our normal backup retention process.
You may ask us to delete your account data sooner, and we will do so where we are legally able to. We may retain information where we are required to do so by law or where reasonably necessary to establish, exercise or defend legal claims.
8. Privacy and personal information
We handle personal information in accordance with our Privacy Policy and applicable Australian privacy laws, including the Privacy Act 1988 (Cth) and the Australian Privacy Principles to the extent they apply to us.
You are responsible for making sure that you have the necessary authority and permissions to provide personal information to us for processing through Done‑Next. You must also comply with any privacy obligations that apply to you in relation to the information you put into Done‑Next.
If a privacy or data-processing arrangement is required for your use of Done‑Next, we will work with you to put that arrangement in place.
9. Security and data incidents
We will take reasonable technical and organisational measures to protect Done‑Next and the data stored in it against unauthorised access, loss, misuse and alteration. No online service can be guaranteed to be completely secure.
If we become aware of a security incident affecting your data that we reasonably believe requires notification, we will notify you without unreasonable delay and provide information that is reasonably available to us about the incident and the steps we are taking to respond.
We will reasonably cooperate with you in relation to investigating and responding to a confirmed security incident, taking into account the nature of the incident and our legal obligations.
10. Our software and intellectual property
Done‑Next, including its software, source code, design, architecture, documentation, branding, interfaces and other materials we create to operate the service, remains our property or the property of our licensors.
While your account is active, we give you a limited, non-exclusive, non-transferable licence to use Done‑Next for your business and for the purposes for which we provide it.
You must not:
- copy or reproduce Done‑Next except as permitted by law;
- sell, resell, rent or sublicense Done‑Next;
- provide Done‑Next to someone else as a service;
- attempt to obtain or reproduce its source code;
- reverse engineer it except to the extent the law permits; or
- use it to build or operate a competing service.
Nothing in this section gives us any ownership of your data.
If you give us suggestions, ideas or feedback about Done‑Next, we may use them without owing you anything for them.
11. Acceptable use
You must use Done‑Next lawfully and responsibly. You must not use it to:
- break the law;
- store information that you have no right to store;
- introduce malware or other harmful code;
- attack, disrupt or interfere with Done‑Next;
- attempt to gain unauthorised access to another customer's data or instance;
- circumvent security or access controls; or
- use the service in a way that could reasonably damage the service or other customers.
If you seriously breach this section, we may suspend or close your account. Where the circumstances reasonably allow it, we will give you notice and an opportunity to fix the problem before doing so.
12. Confidentiality
Each of us must keep the other's confidential information confidential and only use it for purposes connected with this agreement. Your data is your confidential information.
Confidential information does not include information that:
- is already publicly available through no breach of this agreement;
- was already lawfully known to the receiving party;
- is independently developed without using the confidential information; or
- must be disclosed by law or a lawful order.
If we are legally required to disclose your confidential information, we will, where legally permitted, tell you beforehand.
We may disclose confidential information to our employees, contractors, professional advisers and service providers where they need to know it to provide or support Done‑Next and are subject to appropriate confidentiality obligations.
13. Suspension
We may temporarily suspend access to Done‑Next where reasonably necessary to:
- protect the security or integrity of the service;
- prevent unlawful or abusive activity;
- deal with a serious breach of these terms;
- respond to a security incident;
- comply with the law; or
- address significantly overdue fees after giving reasonable notice.
We will limit a suspension to what is reasonably necessary in the circumstances. Except where immediate action is reasonably necessary, we will tell you before suspending the service and give you an opportunity to fix the problem.
Suspension does not by itself end this agreement or give us the right to delete your data.
14. Ending your account
There is no minimum subscription term. You may close your account at any time by telling us.
You will not be charged for months after the month in which your account closes. We do not refund amounts already paid for a part month.
We may close your account by giving you at least 30 days written notice. We may close your account immediately if:
- you seriously breach these terms and do not fix the breach within a reasonable period after we ask you to;
- you use Done‑Next unlawfully or in a way that creates a serious security or legal risk;
- you become insolvent or enter an external administration process, to the extent permitted by law; or
- we are required to do so by law.
Where reasonably practicable, we will give you a reasonable opportunity to export your data before your account is closed.
Ending the agreement does not affect rights or obligations that arose before the agreement ended.
15. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law where that right or remedy cannot lawfully be excluded, restricted or modified.
To the extent permitted by law, and where we are entitled to limit our liability for a failure to comply with a consumer guarantee applying to our services, our liability will be limited to supplying the services again or paying the cost of having the services supplied again.
Nothing in these terms is intended to exclude or limit any liability that cannot lawfully be excluded or limited.
16. What we are liable for
To the maximum extent permitted by law, neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings arising from this agreement.
Subject to the Australian Consumer Law and the other provisions of these terms, our total aggregate liability arising out of or in connection with Done‑Next or these terms is limited to the fees you paid us in the 12 months immediately before the event giving rise to the claim. This limitation applies regardless of whether the claim arises in contract, tort, negligence, statute or otherwise.
Nothing in these terms limits liability for:
- fraud or fraudulent misrepresentation;
- death or personal injury caused by negligence;
- a liability that cannot legally be limited; or
- any other liability that the parties agree cannot be excluded or limited.
17. Events outside our reasonable control
Neither party is responsible for a failure or delay caused by something genuinely outside its reasonable control. This may include natural disasters, widespread telecommunications or internet failures, power failures, government action, war, civil unrest, industrial disputes, or widespread cyber incidents.
The affected party must take reasonable steps to minimise the effect of the event. If the situation continues for 30 days or longer and materially prevents the agreement from being performed, either party may end the agreement by written notice.
18. Changes to these terms
We may update these terms from time to time. If we make a change that materially affects your rights or obligations, we will give you at least 30 days' notice before the change takes effect.
If you do not want to accept a material change, you may close your account before the change takes effect without penalty.
Minor changes, such as correcting typographical errors or making wording clearer without materially changing its meaning, may be made without advance notice. The “Last updated” date at the top of these terms will change when we update them.
19. Changes to the service
We may improve, modify or replace parts of Done‑Next from time to time. We will try to avoid removing functionality that customers reasonably rely on without notice.
Nothing in these terms prevents us from making changes that are reasonably necessary for security, legal compliance, technical reasons or the continued operation of the service.
20. Notices
We may send notices to the email address associated with your Done‑Next account. You must keep your account contact information accurate.
A notice sent to that address will be treated as received when it is sent, unless the sender receives a delivery failure message. Where these terms require written notice, email is sufficient.
21. The rest
These terms, together with our Privacy Policy, applicable pricing information and any other written agreement we have entered into with you, form the agreement between us concerning Done‑Next.
If there is an inconsistency between documents, the following order applies unless we agree otherwise in writing:
- a specific written agreement signed by both parties;
- these Terms of Service;
- the Privacy Policy; and
- other general information published on our website.
If a court finds that part of these terms is unenforceable, the rest will continue to apply. A failure by either party to enforce a right does not mean that party has given up that right.
Neither party may assign this agreement without the other's consent, except that we may assign it as part of a merger, restructure, sale of Done‑Next or sale of substantially all of the relevant business or assets.
22. Governing law
These terms are governed by the laws of New South Wales, Australia. The parties submit to the courts of New South Wales and the Commonwealth courts exercising jurisdiction in New South Wales.
23. Contact us
If something isn't working for you, tell us before it becomes a dispute. Most things are a conversation before they become a clause.
